ImageWare Development Software Licenses, Warranties and Limitation of Warranties:

ImageWare Development provides the following End-User License Agreements with respect to the software it distributes. An End-User License Agreement is a legal agreement between you (either an individual or a single entity) and ImageWare Development for our software product. Such software product includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("SOFTWARE PRODUCT"). By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of the End-User License Agreement. If you do not agree to the terms of the agreement, do not install or use the SOFTWARE PRODUCT; you may, however, return it to your place of purchase for a full refund.

Each SOFTWARE PRODUCT is identified as a:

GRANT OF LICENSE. ImageWare Development grants you the following rights with respect to Evaluation Software:

Installation and Use. You may install and use an unlimited number of copies of the SOFTWARE PRODUCT.

Reproduction and Distribution. You may reproduce and distribute an unlimited number of copies of the SOFTWARE PRODUCT; provided that each copy shall be a true and complete copy, including all copyright and trademark notices, and shall be accompanied by a copy of the End-User License Agreement which is provided with the SOFTWARE PRODUCT.

Term. Evaluation software has a term limited to a period of time specified in the documentation provided with the Evaluation software. At the expiration of such term, you no longer are licensed to use or possess the Evaluation Software.

OTHER TERMS. Demo Software is also subject to the rights and limitations listed below under the heading "Additional Terms and Conditions."
Additional Terms and Conditions

DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

Separation of Components. The SOFTWARE PRODUCT is licensed as a single product. Its component parts may not be separated for use on more than one computer.

Support Services. ImageWare Development may provide you with support services related to the SOFTWARE PRODUCT ("Support Services"). Use of Support is governed by the ImageWare Development policies and programs described in the user manual, in "online" documentation, and/or in other ImageWare Development-provided materials. Any supplemental software code provided to you as part of the Support Services shall be considered part of the SOFTWARE PRODUCT and subject to the terms and conditions of this End-User License Agreement. With respect to technical information you provide to ImageWare Development as part of the Support Services, ImageWare Development may use such information for its business purposes, including for product support and development. ImageWare Development will not utilize such technical information in a form that personally identifies you.

Software Transfer. You may permanently transfer all of your rights under this End-User License Agreement, provided the recipient agrees to the terms of this End-User License Agreement.

Termination. Without prejudice to any other rights, ImageWare Development may terminate this End-User License Agreement if you fail to comply with the terms and conditions of this End-User License Agreement. In such event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts.

COPYRIGHT. All title and copyrights in and to the SOFTWARE PRODUCT (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the SOFTWARE PRODUCT), the accompanying printed materials, and any copies of the SOFTWARE PRODUCT are owned by ImageWare Development or its suppliers. The SOFTWARE PRODUCT is protected by copyright laws and international treaty provisions. Therefore, you must treat the SOFTWARE PRODUCT like any other copyrighted material except that you may install the SOFTWARE PRODUCT on a single computer provided you keep the original solely for backup or archival purposes.

U.S. GOVERNMENT RESTRICTED RIGHTS. The SOFTWARE PRODUCT and documentation are provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software-Restricted Rights at 48 CFR 52.227-19, as applicable. The End-User License Agreement is governed by the laws of the State of Minnesota, USA.

LIMITED WARRANTY

NO WARRANTIES. ImageWare Development expressly disclaims any warranty for the SOFTWARE PRODUCT. The SOFTWARE PRODUCT and any related documentation is provided "as is" without warranty of any kind, either express or implied, including, without limitation, the implied warranties or merchantability, fitness for a particular purpose, or noninfringement. The entire risk arising out of use or performance of the SOFTWARE PRODUCT remains with you.

NO LIABILITY FOR DAMAGES. In no event shall ImageWare Development or its suppliers be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this ImageWare Development product, even if ImageWare Development has been advised of the possibility of such damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

Licensed/Registered versions of Software

Each licensed/registered version of a SOFTWARE PRODUCT distributed by ImageWare Development comes with the following license and limitation of warranties:

This License shall be governed and construed in accordance with the laws of the State of Tennessee and shall benefit ImageWare Development, its successors and assigns.

Use of this software is permitted only to the extent reasonably required to determine whether to purchase the software.

After payment is made, use of this software is limited to use on only a single personal computer or workstation which is not used as a server. An additional payment is required for each use on another personal computer or workstation.

Only a single copy may be made of this software solely for backup or archival purposes. The software may also be transferred to a single hard disk.

Any use of this software in violation of the above is not licensed.
